1. About Sideshift
Sideshift Inc. (“Sideshift,” “we,” “us,” or “our”) designs, manufactures, distributes, sells, and supports marine thruster systems and related products, components, accessories, documentation, and services. These Terms & Conditions (“Terms”) govern your use of sideshift.com and related Sideshift websites, online services, purchases, technical-support interactions, and electronic communications that link to or reference these Terms.
2. Acceptance of These Terms
By accessing or using our website, placing an order, using our online services, or otherwise interacting with services governed by these Terms, you agree to these Terms and any policies expressly incorporated by reference. If you do not agree, do not use the applicable website or service.
3. Website Use
You may use the website only for lawful purposes. You may not interfere with the security or operation of the website; attempt unauthorized access to systems or accounts; submit false, fraudulent, malicious, or misleading information; or reproduce, distribute, or commercially exploit protected Sideshift content except as authorized by Sideshift or applicable law.
4. Product Information and Suitability
Sideshift makes reasonable efforts to provide accurate product descriptions, specifications, compatibility guidance, photographs, pricing, and availability information. Product specifications, designs, features, pricing, and availability may change without notice. Customers are responsible for confirming product suitability for their vessel and intended application. Vessel length, weight, hull design, windage, electrical capacity, operating environment, and installation conditions may affect suitability and performance. Contact Sideshift or an authorized dealer if you need assistance selecting a product.
5. Orders and Payment
All orders are subject to acceptance and availability. Sideshift may refuse or cancel an order where reasonably necessary, including due to product availability, pricing or description errors, suspected fraud, payment issues, shipping restrictions, or legal/regulatory requirements. Applicable taxes, shipping charges, duties, brokerage fees, and other charges may vary by order and destination. Payment must be made using an accepted payment method.
6. Shipping and Delivery
Shipping and delivery estimates are provided for convenience and are not guaranteed unless expressly stated otherwise. Carrier delays, customs processing, weather, product availability, and other circumstances outside Sideshift’s reasonable control may affect delivery. Customers are responsible for providing complete and accurate delivery information and for any import-related amounts that apply to their order unless Sideshift expressly states otherwise.
7. Installation and Safe Use
Sideshift products must be installed, maintained, and operated in accordance with applicable instructions, technical documentation, warnings, and safety information. Marine electrical and mechanical work may require specialized knowledge, equipment, and qualified personnel. Customers and installers are responsible for determining whether they are qualified to perform a procedure and for complying with applicable marine, electrical, safety, and regulatory requirements.
8. Technical Support
Sideshift may provide troubleshooting, installation guidance, product information, and technical support by telephone, email, SMS/MMS, video, online forms, documentation, or other channels. Support is based on the information available at the time. Sideshift may request photographs, videos, electrical measurements, serial numbers, proof of purchase, installation details, or returned components to assist with diagnosis, support, or warranty evaluation. Customers and technicians remain responsible for performing diagnostic and repair procedures safely.
9. Warranty
Sideshift products are subject to the warranty terms applicable to the product at the time of purchase. The current website states a two-year warranty against defects due to faulty workmanship or defective materials. Warranty eligibility, exclusions, remedies, authorization requirements, and return procedures are governed by the applicable warranty documentation and applicable law. Nothing in these Terms limits statutory warranty or consumer rights that cannot legally be excluded or limited.
10. Returns and RMA
Returns and return merchandise authorizations are subject to Sideshift’s then-current return and RMA policies. Authorization may be required before products or components are returned. Eligibility for credit or refund may depend on timing, product condition, completeness, installation status, and other stated return conditions. Applicable shipping or restocking charges may apply, subject to applicable law.
11. Intellectual Property
The Sideshift name, logos, product names, product designs, photographs, videos, manuals, drawings, technical documents, graphics, website content, and other materials may be protected by copyright, trademark, patent, or other intellectual-property rights. Except as expressly authorized, you may not reproduce, modify, distribute, publish, sell, or commercially exploit Sideshift materials. Authorized dealers, distributors, installers, and partners may receive separate permissions governing their use of Sideshift materials.
12. Third-Party Services and Links
Our websites and services may link to or integrate with third-party websites, payment processors, shipping carriers, communications providers, analytics services, ecommerce platforms, and other services. Those services are governed by their own terms and privacy practices. Sideshift is not responsible for third-party content, availability, security, or independent acts or omissions to the extent permitted by law.
13. SMS and MMS Messaging
Sideshift may communicate with customers, dealers, installers, and other individuals by SMS or MMS when appropriate consent has been obtained or another lawful basis permits the communication. Messages may include customer service, technical support, troubleshooting, order information, shipping updates, warranty or return communications, appointment or service updates, requests for photos/videos, product information, and, where separately authorized, marketing or promotional communications.
14. SMS Consent
By providing a mobile number and expressly opting in, you consent to receive SMS and/or MMS messages from Sideshift at the number provided for the message category you selected. Consent to receive marketing or promotional text messages is not a condition of purchasing a Sideshift product or service. Where Sideshift offers both customer-care/transactional and marketing/promotional messaging, consent for those categories will be requested separately where required.
15. SMS Frequency, Charges, STOP and HELP
Message frequency varies according to your interactions with Sideshift. Message and data rates may apply according to your wireless carrier and service plan. You may opt out of the applicable messaging program at any time by replying STOP. You may receive a final confirmation message after opting out. For assistance, reply HELP or contact Sideshift using the contact information on our website. Wireless carriers are not liable for delayed or undelivered messages.
16. SMS Privacy
Sideshift does not sell or share mobile telephone numbers, SMS opt-in data, SMS consent, or SMS message data with third parties or affiliates for their marketing or promotional purposes. Sideshift may disclose information to service providers, telecommunications carriers, messaging platforms, and other processors as reasonably necessary to operate, secure, and support the messaging program, subject to applicable privacy obligations. 17. Electronic Communications
When you communicate with Sideshift electronically, Sideshift may respond through appropriate electronic channels, subject to applicable consent, privacy, and communications requirements. Electronic communications may include email, SMS/MMS, online forms, and other digital methods.
18. Privacy
Sideshift’s Privacy Policy explains how personal information is collected, used, disclosed, retained, and protected and is incorporated into these Terms by reference where applicable. The Privacy Policy is available on the Sideshift website.
19. Disclaimers
To the extent permitted by applicable law, the website and general informational content are provided on an “as available” basis. Product performance can vary based on installation, vessel characteristics, environmental conditions, electrical-system condition, maintenance, and operation. General website information is not a substitute for vessel-specific professional advice when professional advice is appropriate.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Sideshift will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the website or services. Nothing in these Terms excludes or limits liability or consumer rights that cannot legally be excluded or limited.
21. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Sideshift harmless from claims, losses, liabilities, damages, and reasonable expenses arising from your unlawful use of the website or your unauthorized modification or misuse of Sideshift products. This provision does not apply where prohibited by law.
22. Changes to These Terms
Sideshift may update these Terms from time to time to reflect changes in products, services, business practices, technology, communications programs, or legal requirements. The current version will be posted on the website with an updated effective date. Where required by law, additional notice will be provided.
23. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
24. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without limiting mandatory consumer-protection rights that may apply based on a customer’s location.
